I doubt that you can theme two panels with different images.... you can always get a dock app that uses a background image and then theme you xfce4-panel with a ~/.gtkrc-2.0 file for 2 different looks..... that's what I do (without using an image for the dock.... just normal transparency and nice icons).

Google search "avant window navigator" and "gnome do". Or Google search for "Linux dock apps". The one in my picture (2 posts above) is the "avant window navigator" or awn for short. I don't really like it that much, but ever since the new 4.6 xfce4-panel version the cairo RGBA transparency patch does not work anymore..... so I'm using the dock app until someone re-writes that cairo-patch for the new 4.6 version of xfce4-panel.
